Terms of Service

1. Agreement to these Terms

These Terms of Service ("Terms") form a binding agreement between you and Mintly Life ("Mintly," "we," "our," or "us") governing your access to and use of the websites, services, and applications operated by Mintly, including mintly.life and artists.mintly.life (together, the "Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Eligibility

You must be at least 13 years old to create a personal account on Mintly. Users between 13 and 17 must have permission from a parent or legal guardian. You must be at least 18 years old to create an Artist account or to monetize, upload, or otherwise commercially distribute music through the Service. You represent and warrant that you have the legal capacity to enter into these Terms.

3. Account types

Mintly offers three account types, which are operated separately and may not be merged:

  • Personal accounts are for listeners. Personal accounts can sign up directly at mintly.life, browse public profiles, follow artists, like songs, and create playlists.
  • Artist accounts are for individual artists or bands. Artist accounts are applied for at artists.mintly.life and become active only after manual review and approval by Mintly staff. Artist accounts are managed exclusively through the Artists portal and cannot be used to log in on the consumer site.
  • Administrator accounts are operated by Mintly staff only and may not be created by users.

An Artist account is separate from any personal account you may hold. You may not share login credentials between accounts.

4. Account security

You are responsible for safeguarding your password and for all activity that occurs under your account. You agree to choose a strong password, to keep your contact email current, and to notify us immediately at security@mintly.life if you suspect unauthorized access. Mintly is not liable for any loss arising from your failure to comply with this Section.

5. User content

"User Content" means anything you submit, upload, post, or display on or through the Service, including profile information, photographs, biographies, music recordings, cover art, comments, and metadata. You retain all ownership rights you have in your User Content. By submitting User Content, you grant Mintly a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify (for technical purposes such as transcoding), publicly display, publicly perform, communicate to the public, and distribute that User Content solely for the purpose of operating, promoting, and improving the Service.

You represent and warrant that (a) you own or have all necessary rights and permissions to grant the foregoing license, including rights to any musical compositions, sound recordings, samples, performances, photographs, names, likenesses, and trademarks contained in your User Content, and (b) your User Content does not and will not violate any law, regulation, or third-party right.

6. Prohibited conduct and content

You agree not to (and not to enable, encourage, or permit any third party to):

  • upload, post, share, or otherwise transmit any content that is unlawful, defamatory, obscene, pornographic, sexually explicit involving minors, hateful, racially or ethnically offensive, abusive, harassing, threatening, fraudulent, or otherwise objectionable;
  • infringe, misappropriate, or violate any patent, trademark, trade secret, copyright, right of publicity, or other right of any person or entity;
  • impersonate any person or entity, including an artist, label, or Mintly employee, or misrepresent your affiliation with any person or entity;
  • upload music, cover art, names, or metadata you do not have the legal right to distribute;
  • circumvent, disable, or otherwise interfere with security-related features of the Service, including rate limits, authentication mechanisms, content protection, or features that restrict use or copying;
  • use any automated means, including bots, scrapers, crawlers, or any software or hardware reverse-engineering, to access the Service, scrape data, or interfere with other users' access;
  • attempt to gain unauthorized access to any account, computer system, or network connected to the Service;
  • introduce malware, viruses, worms, or other harmful code;
  • resell, sublicense, rent, lease, or commercially exploit any portion of the Service that is not your User Content;
  • use the Service to send unsolicited commercial messages, spam, or chain letters.

7. Submission review

Artist applications and music submissions are reviewed manually by Mintly staff before they are made publicly available. Mintly may refuse, remove, or restrict any submission at its sole discretion, including for breach of these Terms or for content that, in Mintly's reasonable judgment, would harm users, third parties, or Mintly. Approval of a submission does not constitute a warranty of its accuracy, legality, or fitness for any purpose, and you remain solely responsible for your User Content at all times.

8. Copyright; DMCA notices

Mintly respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA). If you believe that material on the Service infringes your copyright, please send a DMCA notice that includes: (a) the physical or electronic signature of the copyright owner or authorized agent; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the material that is claimed to be infringing and information sufficient to locate it; (d) your contact information; (e) a statement of good-faith belief that the use is not authorized; and (f) a statement, under penalty of perjury, that the information is accurate and that you are the owner or authorized to act on behalf of the owner. Notices should be sent to dmca@mintly.life. We reserve the right to terminate accounts of repeat infringers.

9. Downloads and offline use

When the Service makes a track, EP, album, or playlist available for download, you receive a personal, non-transferable, non-exclusive, revocable license to listen to that file for your own non-commercial use. You may not redistribute, re-upload, broadcast, publicly perform, sell, sync to video, or otherwise exploit downloaded files. Artists may revoke or restrict downloads of their content at any time.

10. Service availability and changes

Mintly is provided on an "as is" and "as available" basis. We may add, modify, suspend, or discontinue any feature, content, or portion of the Service at any time, with or without notice, and we do not guarantee that the Service will be uninterrupted, error-free, or secure.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access immediately, with or without notice, if we believe you have violated these Terms or applicable law, or if we discontinue the Service. Upon termination, your right to use the Service ends, but Sections that by their nature should survive (including ownership of User Content licenses, indemnification, disclaimers, limits of liability, and dispute resolution) will survive.

12. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, MINTLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. MINTLY DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, ACCURATE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MINTLY, ITS AFFILIATES, AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. IN NO EVENT WILL OUR AGGREGATE LIABILITY EXCEED ONE HUNDRED U.S. DOLLARS (USD $100) OR THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, WHICHEVER IS GREATER.

14. Indemnification

You agree to defend, indemnify, and hold harmless Mintly and its affiliates, and their officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your User Content; (b) your use of or access to the Service; (c) your violation of these Terms; or (d) your violation of any third-party right.

15. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws provisions. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in New Castle County, Delaware for any dispute arising out of or relating to these Terms or the Service, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

16. Changes to these Terms

We may modify these Terms from time to time. If we make material changes, we will provide reasonable notice, such as by updating the "Last updated" date above or by notifying you through the Service or by email. Your continued use of the Service after the effective date of any update constitutes your acceptance of the updated Terms.
